Executive Manager Legal & Regulatory Affairs Location: Docklands, VIC, AU, 3008 Position Description Position: Executive Manager Legal & Regulatory Affairs Reports To: General Counsel & Company Secretary Function: Legal Location: Melbourne Approval Date: 20/01/2025 Last review date: 17/01/2025 Purpose To provide legal, corporate governance and strategic advice, taking into consideration commercial and other interests of the Pacific Blue Australia Group of companies (PB Group). To support the General Counsel & Company Secretary in the management and performance of individual Legal Team members. To manage legal workflow systems and conduct legal due diligence projects. To manage the PB Group’s relationships with external legal advisers, including establishing terms of engagement, monitoring performance of external legal advisers, and providing assessments and feedback in relation to the performance of such advisers. To provide legal leadership and strategic oversight across the PB Group, by carrying out tasks and activities including, but not limited to, the following: Establishing or reforming, and overseeing the implementation of, internal legal processes of the PB Group, including contract approval and management processes, and the processes of engaging external legal professionals. Managing and supervising legal and other personnel in the team. Managing legal aspects of PB Group projects across renewable energy and battery storage developments, asset operations, wholesale energy transactions, trading and energy retail activities. Providing legal advice to senior management and the Boards of Directors of the PB Group. Key Duties and Responsibilities Lead and manage the Legal Team by: Planning and allocating resources for various tasks required to be done by members of the Legal Team. Coaching and guiding legal personnel in their work, and providing oversight over legal workstreams. Maintaining the Legal Team as a robust and effective source of legal and regulatory support to the business, and as a team of strong and competent professionals protecting and advancing the interests of the PB Group. Provide high quality legal support to the PB Group through: Providing timely, commercially relevant legal advice and recommendations on a wide range of issues arising across the PB Group, including advising and presenting to senior management on matters requiring board or shareholder approval. Managing the provision of legal services and relationships with external legal service providers. Providing timely and sound advice to senior management on dispute resolution, litigation, regulatory investigations and enforcement proceedings. Advising and supporting bids and contract negotiations on Government energy transition schemes such as the Capacity Investment Scheme and other government programmes. Leading or otherwise supervising the drafting of legal documentation that is used in the ordinary course of business by carrying out tasks and activities including but not limited to: Drafting and negotiating works contracts (including early works and EPC agreements), network connection agreements, metering agreements, consultancy agreements, confidentiality agreements, construction contracts, gas supply contracts, power purchase agreements, energy trading agreements (including ISDAs), operations and maintenance agreements, and supply contracts. Drafting project documentation (land option agreements, leases, easements, mortgagee consents, construction contracts and finance documents). Drafting and negotiating retail customer contracts and back-office contracts, including channel partner and service outsourcing agreements. Advising on retail energy consumer laws and the preparation of associated documents. Advising on intellectual property and trademark matters. Participating in development projects, mergers and acquisitions, financing and due-diligence work. Providing strategic, commercially minded advice to internal stakeholders on both development and operational project issues. Preparing Foreign Investment Review Board applications and ensuring compliance with Foreign Investment Review Board conditions. Participating in the direct negotiation of contracts. Managing external legal costs and assisting PB Group’s managers with defining the scope of external legal work, selection of appropriate advisers and determining the appropriate cost range for any external legal work. Advising on the PB Group’s legal requirements in respect of Anti-Money Laundering and Counter-Terrorism Financing, privacy laws, Security of Critical Infrastructure, environmental scheme as well as planning and development requirements. Advising on energy licence applications and market registrations. Assisting in the identification and management of key legal risks for the PB Group. Ensuring that the Company’s compliance obligations are actively maintained, managed and kept up-to-date with particular focus on cyber security and data protection. Enforcing internal governance procedures and requirements. Building close working relationships without compromising on objectivity or the PB Group’s values. Managing complex legal issues. Judgments Exercise judgement as to the potential impact and urgency of an issue and determine its priority for action. Be commercial. Understand the implications of advice given and decisions made in relation to business necessity versus exposure to liability and/ or costs. Determine the nature and style of communications having regard to the target audience and the purpose of the message. Monitor and determine the quality, value and timeliness of external legal advice and other legal services. Build relationships. Ensure that the Legal Team works with and supports the business effectively and advises management, the PB Group’s Boards of Directors and its shareholders appropriately. Knowledge, experience (including qualification) and skill Knowledge and experience: Qualified lawyer admitted to practice in Victoria with at least 10 years’ post admission experience in private practice or an in-house energy sector role. A sound knowledge of energy regulation. Ability to manage an in-house legal function with direct reports. Experience working as a trusted advisor to senior management. Experience in building and maintaining stakeholder relationships. Skills: Client management. Excellent legal drafting and communication skills. Strong leadership and team management skills.
