Legal and Company Secretary Merger Specialist What's the opportunity? We are looking for a Legal and Company Secretary Merger Specialist to join our Strategy and Transformation team on a 6-month fixed term contract. We value flexibility and are open to considering this role on a part-time basis, working 4 days a week. As the Legal and Company Secretary Merger Specialist you will act as a subject matter expert and coordinate the Legal & Company Secretary Workstream by providing legal and corporate governance and company secretarial support to facilitate the proposed merger between Qudos Bank and Bank Australia. What will I be doing? You will review and prepare templates for supplier contracts and related documents to identify necessary changes, or business impacts due to the merger. Collaborate with cross-functional teams within the Project initiative to provide expert legal and company secretarial support. Work closely with the Senior Legal and Compliance Manager, offering internal legal advice for Project Outlook and the Risk Transformation Program, including: Reviewing and preparing documentation for required changes in supplier agreements, member contracts, disclosure documents, terms and conditions, etc. Reviewing website content, marketing materials, and communications. Instructing external solicitors as needed. Support the Company Secretary with company secretarial duties for the Project Outlook workstream, including:Contributing to the development and delivery of the Day 1 readiness plan. Preparing FAR Accountability Statements and Maps. Managing registration and licensing variations or revocations. Preparing submissions and liaising with ASIC and other regulators. Assisting with company secretarial matters from other workstreams. Provide project management support to the Program Director for the Project Integration Management Office. Lead or participate in business projects, managing legal risks and reviewing content and communications as directed by the Chief Strategy & Transformation Officer. What is it like to work with us? What you will bring: Law degree NSW Practicing Certificate Previous experience with Mergers and Acquisitions Minimum of 5 years' experience as a practicing lawyer An inquiring mindset excellent with exceptional problem-solving skills Who are Qudos Bank?
