Corporate Secretary (3-5 years exp) - US MNC Join a dynamic and growing organization where corporate governance and compliance are at the forefront. We are seeking a Corporate Secretary with 3 to 5 years of experience to support our corporate secretarial and governance functions. Candidates with experience in a corporate services provider or professional services firm will be highly regarded. Key Responsibilities Ensure compliance with corporate governance requirements and relevant regulations. Maintain corporate records, including board and shareholder resolutions, minutes, and statutory registers. Support the preparation and filing of statutory documents with regulatory authorities. Assist in organizing board meetings, including preparing agendas, meeting packs, and minutes. Advise directors and senior management on corporate governance matters. Liaise with regulatory bodies, external advisors, and other stakeholders as needed. Manage the incorporation, restructuring, and dissolution of legal entities. Ensure timely lodgment of corporate filings, annual returns, and compliance reports. Maintain accurate records of directorships, shareholdings, and corporate changes. Monitor changes in corporate governance and regulatory requirements to ensure compliance. Implement and improve corporate secretarial policies and procedures. Assist with internal audits and regulatory reviews as required. Draft and review corporate documents, including company constitutions, shareholder agreements, and governance frameworks. Provide support on corporate transactions, restructurings, and due diligence processes. Work closely with legal, finance, and compliance teams on corporate governance initiatives. Key Requirements 3-5 years of corporate secretarial experience, preferably within a corporate services provider or professional services firm. A degree in Law, Business, or a related field is preferred. Australia Chartered Secretary qualification (e.g., membership with Governance Institute of Australia) is a plus but not a must. Strong knowledge of corporate governance and regulatory frameworks in Australia. Excellent attention to detail and organizational skills. Ability to manage multiple deadlines and stakeholders.
