Deputy Company Secretary – Real Estate and Infrastructure Finance The Role: Reporting to the Chief Legal Officer & Company Secretary and supported by the Manager, Corporate Governance, you will be accountable for the effectiveness of the Board secretariat and governance function of Housing Australia. Company Secretary Lead the effective day-to-day delivery of secretarial services for the Board and Board Committees, including preparation of agendas, Board papers and resolutions. Oversee annual Board secretariat calendar, including detailed forward-planning and ensuring sequential alignment of Board and Board Committee (including Credit Committee, Executive Risk and Compliance Committee and Asset and Liability Committee). Review Board and Board Committee papers prior to submission, working directly with Executive and business stakeholders and providing feedback as required to ensure high-quality standards. Implementing and enforcing a standardised timetable to ensure that Board papers are submitted, reviewed and delivered to Board and Board Committee members on time. Attend and take minutes of all Board and Board Committee meetings, as well as for internal committee meetings as required from time to time (including for major transactions). Design and implement internal corporate governance training programs, to assist the Executive and business stakeholders in developing Board papers and presenting to the Board and Board Committees. Review and update the existing suite of template Board and Committee documents to ensure consistency and compliance with applicable regulatory requirements. Develop a strong working relationship with the Board, the Board Chair and Committee Chairs and support transparency and flow of information between the Board and Executive. Corporate Governance Advise the Board, Board Committees and Executive on best practice in governance matters, including escalation of relevant issues to the Chief Legal Officer & Company Secretary as required. Organise and deliver Board member onboarding, education and professional development (if required). Support the Chair’s endeavours to review and evaluate Board performance and to ensure sufficient diversity and depth of skills in the Board’s composition. Provide expertise and input into external reporting requirements, including Housing Australia’s corporate plan and annual report. Assist with drafting, monitoring and recording of Board correspondence with relevant government departments and Ministerial offices as required. Requirements: Minimum of 7 years’ experience in a highly regulated, preferably ASX-listed, environment. Corporate Governance qualification from the GIA, AICD or similar. Deep understanding of governance principles and practices and corporate compliance. Strong interpersonal skills, able to deal effectively and authoritatively at Board, Executive and business stakeholder level.
