Independent Chair - Netball Australia Nominations Committee Posted: 21/02/2025 Closing Date: 07/03/2025 Job Type: Casual Location: Melbourne Job Category: Executive & Strategic Management, Sport and Recreation NETBALL AUSTRALIA’S BACKGROUND Netball holds a unique position in the Australian sporting landscape. It is a sport with significant and long-held participation rates that are the envy of many other Australian sports. It is widely held to be the women’s sport in Australia with eight out of ten Australian families having some involvement with netball - either through playing, volunteering, coaching or assisting in the administration of the sport. Netball Australia (NA) is the national body for Netball in Australia and the organisation was founded in 1927. NA operates as a company under a constitution resolved by the NA State and Territory Organisations, Member Organisations (MO’S). ROLE OF THE NOMINATIONS COMMITTEE The purpose of the Nominations Committee is to identify candidates to fill Director vacancies (including casual vacancies) and assess all nominees for Director vacancies in accordance with the NA Constitution and Nominations Committee Terms of Reference. The Nominations Committee membership comprises of three (3) members, as appointed by the Board: A Chair, as appointed by the Board; One (1) NA Director; and One (1) current Member Organisation (MO) representative endorsed by at least 6 of the 8 MO Presidents for this position. KEY RESPONSIBILITIES The Nominations Committee – Independent Chair key responsibilities include: In consultation with the NA Board, develop a board skills matrix setting out the mix of skills, expertise, experience, diversity and personal attributes that the NA Board should look to achieve in its membership. Develop a process to undertake a call for nominations that ensures nominees are made aware of the identified skill sets required to contribute to the Board as per the matrix. Receive and review all nominations for all Board Director positions. Organise communication with all nominees for Board Director positions, set up and conduct interviews as appropriate. Assess nominees against the NA skill priorities and requirements (including culture fit) and undertake reference checks. Finalise its recommendations and inform the relevant stakeholders. In consultation with the NA Board, ensure succession planning for the Board to maintain appropriate skill and diversity mix of the NA Board whilst minimising business disruption. The Nominations Committee Chair is supported by the Company Secretary. Desired Skills and Experience CANDIDATE PROFILE Governance knowledge The ability to facilitate best practice governance processes. An understanding of the skills, knowledge, experience, attributes and diversity required for a highly functioning board. Strong demonstrated working experience and competencies leading a Nominations Committee or other Board sub-committees. Industry experience Knowledge of netball or other national sporting organisations and/or not-for-profit member-based organisations, including federated systems. Leadership The ability to inform and brief stakeholders on matters and lead constructive and timely discussion and debate, drawing on the expertise of the Nominations Committee. Experience in motivating, managing and dealing with people. Desired Personal Attributes Integrity - Meeting fiduciary duties and responsibilities, acting ethically, having appropriate independence, putting NA’s interests before personal interests. Collaborative leader – The ability to inspire the individual contribution and participation of each committee member. Effective communicator – The ability to engage and effectively communicate with relevant stakeholders. Emotional intelligence – The Chair needs to be able to motivate and empathetically manage robust discussions. Engaged commitment – A willing participant with a genuine interest in NA and its Member Organisations. Commitment - The Nominations Committee will meet as often as necessary. A more intensive time commitment is likely to be required during the period of NA’s Board election process and Annual General Meeting.
