Senior Legal Counsel - Insurance - In-house Counsel Senior Legal Counsel - Company Secretary - Insurance About Our Client The client is a global company and rapidly expanding in Australia. Job Description Roles & Responsibilities (include but not limited to): Managing legal issues impacting the firm's expanding operations in the region and particularly in Australia, including various insurance, compliance, regulatory, employment, and commercial transactions and issues. Interfacing with local regulators, including APRA, and helping to lead and support regional management with various aspects of licensing and regulatory applications, meetings, and presentations. Assisting with all legal and regulatory aspects affecting operations in Australia. Performing corporate secretarial and governance functions. Drafting, reviewing, and negotiating agreements appropriate to a variety of arrangements with producers, insureds, and third parties. Managing miscellaneous corporate transactional matters, including entity formation, due diligence, securities, and financial matters. Staying up-to-date and providing legal counsel on legal, compliance, and regulatory issues impacting the business in Australia and the Asia Pacific region. Overseeing and handling regulatory prudential and conduct matters and activities of local operations to ensure compliance with regulators' requirements and standards. Working with underwriting teams and product development in support of new transactions and product lines. Providing legal support to local operational areas that support the underwriting business (i.e. Claims, IT, Finance, Contract Wording), as well as contributing to wider projects. Handling other corporate and/or contractual matters as needed, including drafting and reviewing non-disclosure and hold harmless agreements, software licenses, outsourcing and services contracts, leases, and other contracts. The Successful Applicant Qualifications An Australian qualified lawyer with a minimum of seven years of relevant legal experience in a law firm and/or corporate in-house role. Desirable to have worked in non-life insurance-related matters in Australia. Ideally can act as Company Secretary. Knowledge, Skills & Competencies Strong organizational skills, analytical ability, and excellent writing and communication skills. Ability to work well under pressure and manage multiple projects/priorities in a dynamic developing environment. Strong work ethic, ability to self-manage and work in a team environment.
